Shoosmiths’ banking and finance team regularly advises on international transactions across a variety of sectors and industries.

We act for borrowers, lenders, investors and lending agents, allowing us to offer legal, commercial and practical insight to all parties on a financing. Our areas of focus include:

  • Corporate lending
  • Real estate finance
  • Leveraged and acquisition finance
  • Private equity backed investments
  • Venture debt
  • Asset based lending
  • International banking and finance

Our team has significant experience on multi-jurisdictional financings.

Our experience and network of overseas firms offer our clients the best possible expertise in support of their international projects. Recent experience on cross-border financings includes advising:

  • an English challenger bank on their multi-million-pound financing of a leading e-commerce marketing group, working alongside and managing local counsel in 10 jurisdictions in the process
  • an Indonesian mobile service provider on its USD40m facilities from an international investment management firm
  • a publicly listed defence business in respect of its £40m financing with a club of three banks (including an accordion option) to finance the acquisitions of Portuguese and German subsidiary companies
  • advising British International Investments plc in relation to several cross-jurisdictional financings, often involving jurisdictions across Asia and Africa
  • advising Five Arrows and Texthelp, the global leader in literacy and assistive technology, on the merger of Texthelp with n2y, a trailblazer in special education curriculum resources, which included (amongst other things) advising Texthelp in relation to the European security in relation to the multi-million global financing arrangement for the new international group - including England, Northern Ireland and Norway.
  • advising the operator of a network of global learning businesses in relation to its multi-million refinancing with a UK clearing bank, involving England, US, Brazil, the Netherlands and Spain

We also have extensive experience acting as local counsel, including advising on security and finance documentation requirements in England & Wales, Northern Ireland or Scotland where advice is required on transactions that are being managed in another jurisdiction. We work regularly and collaboratively with firms to deliver a seamless service to the end client.
